SativaZon LLC Vendor Agreement

This Vendor Agreement (“Agreement”) is made between SativaZon LLC (“SativaZon,” “we,” “us,” or “our”) and the undersigned vendor (“Vendor,” “you,” or “your”) for the purpose of establishing the terms under which the Vendor will operate on the SativaZon platform.

1. Acceptance of Terms

By signing this Agreement, you acknowledge that you have read, understood, and agree to be bound by SativaZon LLC’s Terms and Conditions, Vendor Turn-In Agreement Policy, and any other policies or guidelines provided by SativaZon LLC (“Terms and Policies”).

2. Compliance with Laws

You agree to comply with all applicable local, state, and federal laws and regulations governing the sale, distribution, and marketing of cannabis products. It is your responsibility to ensure that all products sold through SativaZon LLC meet the legal requirements, including THC content limits as outlined in the federal THC 0.3% Farm Bill.

3. Vendor Responsibilities

• Accurately representing your products and services.
• Ensuring all products comply with applicable laws.
• Maintaining the quality and safety of the products you offer.

4. Indemnification

You agree to indemnify and hold harmless SativaZon LLC and its affiliates, officers, directors, employees, agents, and licensors from any claims, losses, damages, liabilities, costs, or expenses arising out of or related to:

• Your breach of this Agreement.
• Your violation of any applicable laws or regulations.

5. Limitation of Liability

SativaZon LLC shall not be liable for any indirect, incidental, or consequential damages resulting from your use of our services or your failure to comply with the Terms and Policies.

6. Termination

SativaZon LLC reserves the right to suspend or terminate your access to our services at our sole discretion if you violate any terms of this Agreement or if necessary to comply with applicable laws.

7. Amendments

SativaZon LLC reserves the right to modify the Terms and Policies at any time. You will be notified of any changes, and your continued use of our services after such changes constitutes your acceptance of the amended Terms and Policies.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the provisions of the 2018 Farm Bill and all applicable state and federal regulations regarding the sale, distribution, and shipment of THC products.

Vendors agree to comply with the legal framework established by the 2018 Farm Bill, which permits the cultivation, sale, and distribution of hemp-derived products containing no more than 0.3% THC on a dry weight basis. Furthermore, vendors are responsible for adhering to any and all relevant state laws and regulations that may impose additional requirements or restrictions beyond those set forth by federal law.

In the event of any conflict between state and federal laws, the vendor shall be responsible for ensuring compliance with the more stringent requirement applicable to their operations. SativaZon LLC shall not be liable for any violations of the law arising from the vendor’s non-compliance with these legal standards.

9. Acknowledgment

By signing below, you acknowledge that you have read, understood, and agree to comply with this Vendor Agreement and SativaZon LLC’s Terms and Policies.

SativaZon LLC Vendor Terms and Conditions for Sale and Shipment of THC Products

By registering as a vendor with SativaZon LLC (“SativaZon,” “we,” “us,” or “our”), you (“Vendor,” “you,” or “your”) agree to the following Terms and Conditions related to the sale and shipment of THC products:

1. Compliance with Laws

• Ensuring that all products contain THC levels compliant with the federal THC 0.3% limit as outlined in the Farm Bill.
• Adhering to any specific state regulations governing the sale, distribution, and shipment of cannabis products.

2. Legal Responsibility

• All products sold through the SativaZon platform are legal for sale in the jurisdictions where you operate.
• You are licensed and authorized to sell THC products as required by your state’s laws.
• You will not engage in the sale or shipment of any products that are illegal under applicable laws.

3. Shipping Regulations

• Products are only shipped to locations where such shipments are legal.
• Follow all packaging, labeling, and documentation requirements for shipping THC products.

4. Indemnification

You agree to indemnify and hold harmless SativaZon LLC and its affiliates, officers, directors, employees, agents, and licensors from any claims, losses, damages, liabilities, costs, or expenses arising out of or related to your sale or shipment of THC products, including any violations of applicable laws and regulations.

5. Limitation of Liability

• Fines or penalties imposed by regulatory authorities.
• Losses incurred due to the seizure or return of illegal products.

6. Termination

SativaZon LLC reserves the right to suspend or terminate your vendor account if you fail to comply with these Terms and Conditions or engage in any activity that violates state or federal laws regarding THC products.

7. Amendments

SativaZon LLC reserves the right to modify these Terms and Conditions at any time. You will be notified of any changes, and your continued use of our services after such changes constitutes your acceptance of the amended Terms and Conditions.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law principles.

9. Disclaimer of Liability for White Labeled Products

1. Vendor Responsibility: SativaZon is not liable for any white labeled products provided by its vendors that utilize the name, likeness, or branding of SativaZon. Vendors are fully responsible for the ingredients, quality, and outcomes of their products.
2. Product Recalls: In the event of a product recall involving any white labeled products from SativaZon's vendors, SativaZon disclaims any liability. All responsibility for managing recalls and addressing associated issues lies with the vendors.
3. Legal Accountability: Vendors agree to indemnify and hold harmless SativaZon from any claims, lawsuits, or legal actions arising from the use of their products, including but not limited to product liability lawsuits related to the ingredients or outcomes of their products, regardless of the white labeling agreement with SativaZon.
4. Acceptance of Terms: By engaging in business with SativaZon, vendors acknowledge and accept these terms and conditions regarding liability and accountability for white labeled products.

This statement serves to protect SativaZon from any legal and financial repercussions associated with vendor products that bear its name or likeness.
